The Promoter is looking for a Strategic Partner and Investor in accordance with the following cumulative conditions:
1. Acquisition of 60% of the shares for the amount of 3.000.000_
2. Simultaneously, by purchasing the shares mentioned in the previous point, the buyer and (share) seller shall proceed to an increase of the company's Share Capital up to 2.000.000_, in proportion with the foregoing holding values: 40% - 800.000_ / 60% - 1.200.000_, thus keeping the shareholder distribution in 40% / 60%.
3. Capable to proof acquisition capacity of the property in the company's name, concerning an estimate value of 8.000.000_. The buyer may use this as a Financing Guarantee.
4. Invest 8.300.000_ in the company and its supplies, aiming the financing of Phase 1 of the project (see: point 2.3), namely, the exploitation of resources (1.400.000_), the execution of infra-structures (4.900.000_), and operational costs (2.000.000_)
5. Summing up, to dispose of 12.500.000_ to apply as follows: a)Purchase of 60% of the Shares (3.000.000_), b)Increase of the company's Share Capital (1.200.000_) c) Advances/ Loans to the Company (8.300.000_)
